1. Acceptance of these Terms
By creating an account, submitting a membership application, or otherwise using PolyResearch ("we," "us"), you agree to these Terms of Service. If you do not agree, do not use the site.
2. Description of the Service
PolyResearch operates an educational research portal, a moderated community for market perspectives, and, for members who complete our membership review process, access to private research materials and private credit investment windows offered by PolyResearch LLC or its affiliates.
3. Membership Application & Eligibility
Access to private materials and private credit windows requires submitting a membership application and completing our review process. You represent that all information you submit, including your name, background, and your self-certified financial status, is true, complete, and not misleading. Approval is at our sole discretion, is not guaranteed, and may be revoked at any time if we believe the information provided was inaccurate or if your circumstances change. We do not provide reasons for application decisions.
4. No Investment, Legal, or Tax Advice
Nothing on this site — including market commentary, topic pages, member perspectives, columns, or private research — constitutes investment, legal, accounting, or tax advice, or a recommendation to buy or sell any security. See our Risk & Disclaimers page for more detail.
5. Private Placements (Regulation D, Rule 506(b))
Any private credit offering referenced on this site is made only to persons with whom PolyResearch or its affiliates have a pre-existing, substantive relationship, in reliance on the private placement exemption under Rule 506(b) of Regulation D. Offerings are not, and will not be, publicly advertised or generally solicited. Securities offered have not been registered under the Securities Act of 1933 and are subject to restrictions on transfer. Eligibility to participate is based on your self-certified representation that you meet the applicable accredited investor criteria; we do not independently verify your financial status beyond the representations you provide.
6. Electronic Signatures & Consent
Where this site asks you to confirm account setup, terms, or an amount request by checking a box or clicking a confirmation button, that action constitutes your electronic signature and legally binding acceptance to the same extent as a handwritten signature, consistent with the U.S. Electronic Signatures in Global and National Commerce Act (E-Sign Act) and applicable state law. You consent to conducting this relationship electronically.
7. Indications of Interest & Funding
Submitting an amount request through the portal is an indication of interest, not a binding subscription, until formally accepted and funds are received and confirmed by us. We may accept, reduce, or decline any indication of interest at our discretion, including where an offering window is oversubscribed or has closed. Wire or ACH instructions are provided only once your indication has been reviewed; you are responsible for funding accurately and from an account in your name.
8. Redemptions
Redemption requests are reviewed individually and are not guaranteed. Redemptions may be delayed, reduced, or declined based on fund liquidity, the terms of the applicable offering, or other operational considerations. Submitting a redemption request does not guarantee any particular timing or amount of payout.
9. Community Conduct
Users may create accounts, view research materials, follow market topics, and participate in moderated discussions where enabled. Users must not post personalized investment advice, securities solicitations, confidential or non-public information, unlawful content, threats, harassment, or knowingly false information. We may moderate, reject, remove, edit, or restrict content or accounts for legal, compliance, operational, quality, or safety reasons.
10. Intellectual Property
Research, commentary, design, and site content are owned by PolyResearch or its licensors and may not be copied, redistributed, or used commercially without our prior written consent, other than for your own personal, non-commercial reference.
11. Disclaimer of Warranties
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.
12. Limitation of Liability
To the fullest extent permitted by law, PolyResearch and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or investment principal, arising from your use of the site or any investment decision.
13. Termination
We may suspend or terminate your account and access at any time, with or without notice, for any reason, including suspected violation of these Terms or applicable law.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of the service will be resolved through binding individual arbitration, except where prohibited by law, and you waive any right to a jury trial or to participate in a class action.
15. Changes to these Terms
We may update these Terms from time to time. Continued use of the site after changes take effect constitutes acceptance of the updated Terms.
