Offloading $523 million of private credit investments—about 48% of the debt portfolio—at 95% of fair value removes the worst-case scenario fears regarding asset marks. Management successfully rescued a troubled vehicle, dropping net leverage from 1.38x down to a pristine pro forma 0.4x. Even though forward earnings remain pressured, the immediate structural threat is gone.
Watching the macro tape for BDCs, TCPC's massive reset highlights structural risks regarding private credit leverage. Back in January, a 19% NAV slash caught the market off guard because heavy leverage magnifies even modest underlying credit troubles. While the Q2 results show NAV decline slowing to just 2.1% and non-accruals improving, advisors must look past headline yields and carefully evaluate underlying asset quality and liquidity.
From a credit underwriting perspective, the Pantheon continuation vehicle transaction provides a fascinating benchmark. By transferring 78 portfolio companies representing 48% of pre-transaction debt, TCPC cleared out distressed elements and deconsolidated CLO liabilities. The 10.4% NAV decline tied to the transaction pricing at 95% of 12/31/2025 gross fair market value was a necessary sacrifice to achieve immediate financial flexibility.
Running our risk models on TCPC post-Q2, the reduction in net leverage to ~0.4x is a massive operational achievement that prevents further forced liquidations. That said, investors buying into 12%+ yields at steep discounts need to recognize that the asset base has shrunk by nearly half. The trade-off for survival and reduced systemic risk is a smaller net income generation engine going forward.
As a hedge fund PM, I moved TCPC from Sell to Hold after reviewing the Q2 data and the portfolio sale details. The adjusted net investment income of $0.21 per share covering the regular $0.17 dividend is encouraging, and higher-beta BDCs have shown surprising resilience recently.
